1. 服务说明

AgentEarth 是面向 AI Agent 的专业工具聚合平台，统一接入并管理来自第三方服务商的大量专业工具，并通过 Web、MCP 协议、Skill API 与命令行等方式，为 Agent 提供工具发现、参数理解与工具执行能力。

本服务本身不生产第三方工具所提供的数据或结果，仅作为连接用户与第三方服务商的聚合与中转层（intermediary routing layer）。工具的具体能力、覆盖范围与价格可能随时调整，我们会尽合理努力保持信息更新。

2. 账户注册与安全

使用部分功能需注册账户。你可使用邮箱或第三方账户（如 Google、GitHub）注册，并应保证所提供信息真实、准确、完整并及时更新。

你需对账户及 API Key 的保密与一切活动负责。如发现任何未经授权的使用或安全漏洞，应立即通知我们。因你保管不当导致的损失由你自行承担。

你应达到所在司法辖区具有订立合同能力的法定年龄；若代表某一组织使用本服务，你声明已获得该组织的充分授权。

3. 积分、充值与计费

本服务采用积分（XLCredit）计费。你可通过充值获得积分，调用工具时按该工具的单价从账户中扣减相应积分。不同工具的单价不同，以平台展示为准。

新用户注册可获赠一定数量的体验积分，赠送积分可能设有使用范围或有效期限制。

充值可能由第三方支付机构处理，你在支付过程中还可能受到该支付机构条款的约束。

除法律强制规定或我们另行书面承诺外，已购买的积分一般不可退款、不可转让、不可兑换为现金。调用失败的情形下是否扣费，以平台规则与工具说明为准（通常最终失败不扣费）。

我们可能不定期调整价格或推出营销活动；价格调整不影响调整前已完成的交易。

4. 第三方工具与服务商

本服务聚合的工具由第三方服务商提供。AgentEarth 仅作为中转层转发你的请求与返回结果，不对第三方工具所返回数据的可用性、准确性、合法性、及时性或适用性作出任何保证，也不对你使用该等数据是否合法作出陈述或保证。

你对第三方工具的使用，可能同时受到相应服务商条款与政策的约束，请你自行了解并遵守。第三方工具可能出现限流、中断、下线或结果偏差，我们会尽合理努力提供重试、降级或切换等机制，但不就此承担超出本条款约定的责任。

5. 数据合规与用户责任

你应对你通过本服务发起的任务、提交的输入数据以及对所获结果的使用，独立承担合规责任，并确保符合所有适用的法律法规，包括但不限于数据保护与隐私法律（如《个人信息保护法》、GDPR、CCPA 等）及跨境数据传输的相关要求。

当你使用涉及社交媒体、网页抓取、电商或其它第三方平台数据的工具时，你应遵守相应平台（如 X/Twitter、Reddit、LinkedIn、小红书、TikTok 及各电商平台等）的服务条款、机器人协议（robots.txt）与反抓取规则，并取得处理相关数据所需的合法依据与授权。

因你未遵守上述要求而引起的一切后果与责任，由你自行承担。

6. 可接受使用

你同意不将本服务用于任何违法、侵权或违反公序良俗的目的，包括但不限于：从事欺诈、传播恶意程序、侵犯他人知识产权或隐私、生成违法有害内容，或进行未经授权的大规模数据抓取、骚扰等。

就涉及数据抓取与社媒类工具，你不得：绕过目标平台的访问控制、验证码或 robots.txt 限制；大规模采集、拼合个人信息以构建“影子画像”或用于监控、人肉；或违反目标平台关于自动化访问的规定。

你不得以任何方式干扰、破坏、绕过本服务的安全或计费机制，不得对本服务进行逆向工程（法律明确允许的除外），不得超出授权范围共享或转售 API Key 与接口访问。

你声明你及你的最终用户未被列入任何适用的贸易制裁或禁运名单，且不位于相关法律禁止提供本服务的国家或地区。

我们有权对疑似滥用、异常或违规的行为进行限制、暂停或终止服务，并保留追究相应责任的权利。

7. 用户内容与数据

“用户内容”指你在使用本服务时提交的任务描述、输入参数、文件及其它数据。你保留对用户内容的权利，并授予我们为提供、维护和改进本服务所必需的、非独占的使用许可。

为完成你发起的工具调用，你的相关输入可能被转发给对应的第三方服务商处理。请勿提交你无权处理或不希望被第三方处理的敏感信息。个人信息的处理详见《隐私政策》。

8. 知识产权

AgentEarth 及本服务相关的商标、标识、软件、界面、文档等知识产权，归我们或相应权利人所有。未经事先书面许可，你不得复制、修改、分发或以其它方式使用上述内容。

第三方工具所涉及的知识产权归各自权利人所有。

9. 免责声明

在适用法律允许的最大范围内，本服务按“现状”和“现有”基础提供，我们不作任何明示或默示的保证，包括但不限于适销性、特定用途适用性、不侵权，以及服务不中断、无错误或工具结果绝对准确的保证。

你理解并同意，工具（包括由 AI 模型生成的内容）返回的结果可能存在不准确、不完整或不适用的情形，是否采纳及如何使用由你自行判断并承担相应风险。

10. 责任限制

在适用法律允许的最大范围内，对于因使用或无法使用本服务而产生的任何间接、附带、特殊、惩罚性或后果性损害（包括利润、数据或商誉损失），我们不承担责任。

在任何情况下，我们就本条款项下的累计赔偿责任，以你在索赔事件发生前三（3）个月内就本服务实际支付给我们的费用总额为上限。

11. 赔偿

因你违反本条款或适用法律、或因你的用户内容或使用行为而引起的第三方索赔、损失、责任及费用（含合理律师费），你同意予以赔偿并使我们免受损害。

12. 服务变更与终止

我们可能随时新增、修改、暂停或终止本服务的全部或部分功能。你可随时停止使用并注销账户。

若你违反本条款，我们可在不另行通知的情况下暂停或终止你的账户。终止后，本条款中依其性质应继续有效的条款（如知识产权、免责、责任限制、争议解决等）继续有效。

13. 条款变更

我们可能不时更新本条款。重大变更将通过网站公告或其它适当方式告知。变更生效后你继续使用本服务，即视为接受修订后的条款。

14. 争议解决

因本条款引起的或与之相关的争议，双方应首先本着诚信原则友好协商解决；协商不成的，依适用法律处理。具体的适用法律与争议管辖将在后续版本中补充说明。

1. Description of the Service

AgentEarth is a professional tool aggregation platform for AI agents. It unifies and manages a large number of professional tools from third-party providers and gives agents the ability to discover, understand the parameters of, and execute tools via the web, the MCP protocol, the Skill API and a command-line interface.

The Service does not itself produce the data or results delivered by third-party tools; it acts solely as an aggregation and intermediary routing layer between you and third-party providers. The capabilities, coverage and pricing of individual tools may change from time to time, and we will make reasonable efforts to keep such information up to date.

2. Account Registration and Security

Some features require an account. You may register with an email address or a third-party account (such as Google or GitHub), and you agree that the information you provide is true, accurate, complete and kept up to date.

You are responsible for safeguarding your account and API keys and for all activity under them. Notify us immediately of any unauthorized use or security breach. You bear any loss resulting from your failure to keep credentials secure.

You must be of the legal age to form a binding contract in your jurisdiction. If you use the Service on behalf of an organization, you represent that you are authorized to do so.

3. Credits, Top-ups and Billing

The Service is billed using credits (XLCredit). You obtain credits by topping up, and credits are deducted from your account at each tool's unit price when you invoke it. Unit prices vary by tool as displayed on the platform.

New users may receive a certain amount of trial credits, which may be subject to scope or expiry limitations.

Top-ups may be processed by a third-party payment provider, whose terms may also apply to your payment.

Except as required by law or otherwise agreed by us in writing, purchased credits are generally non-refundable, non-transferable and non-redeemable for cash. Whether a failed invocation is charged is governed by the platform rules and tool descriptions (typically a final failure is not charged).

We may adjust pricing or run promotions from time to time; price changes do not affect transactions completed before the change.

4. Third-Party Tools and Providers

The tools aggregated by the Service are provided by third-party providers. AgentEarth acts only as a routing layer that forwards your requests and the returned results, and makes no warranty as to the availability, accuracy, legality, timeliness or suitability of the data returned by third-party tools, nor any representation that your use of such data is lawful.

Your use of third-party tools may also be subject to the terms and policies of the respective providers, which you are responsible for reviewing and complying with. Such tools may be rate-limited, interrupted, discontinued or produce inaccurate results. We will make reasonable efforts to provide retry, fallback or failover mechanisms, but assume no liability beyond what these Terms provide.

5. Data Compliance and User Responsibility

You are solely responsible for the tasks you initiate through the Service, the input data you submit and your use of the results, and for ensuring compliance with all applicable laws and regulations, including without limitation data protection and privacy laws (such as the PIPL, GDPR and CCPA) and cross-border data transfer requirements.

When you use tools involving social media, web scraping, e-commerce or other third-party platform data, you must comply with the terms of service, robots.txt and anti-scraping rules of the relevant platforms (such as X/Twitter, Reddit, LinkedIn, RedNote/Xiaohongshu, TikTok and various e-commerce platforms) and obtain the lawful basis and authorization necessary to process such data.

You bear all consequences and liabilities arising from your failure to comply with the foregoing.

6. Acceptable Use

You agree not to use the Service for any unlawful, infringing or otherwise improper purpose, including without limitation fraud, distributing malware, infringing others' intellectual property or privacy, generating illegal or harmful content, or conducting unauthorized large-scale scraping or harassment.

With respect to scraping and social-data tools, you must not: circumvent a target platform's access controls, CAPTCHAs or robots.txt restrictions; harvest or aggregate personal information at scale to build "shadow profiles" or for surveillance or doxxing; or violate a target platform's rules on automated access.

You must not interfere with, disrupt or circumvent the security or billing mechanisms of the Service, reverse engineer it (except as expressly permitted by law), or share or resell API keys or interface access beyond your authorization.

You represent that neither you nor your end users are subject to any applicable trade sanctions or embargo lists, and that you are not located in a country or region where providing the Service is prohibited by applicable law.

We may restrict, suspend or terminate the Service for suspected abuse, anomalous or non-compliant behavior, and reserve the right to pursue remedies.

7. User Content and Data

"User Content" means the task descriptions, input parameters, files and other data you submit when using the Service. You retain your rights in User Content and grant us a non-exclusive license to use it as necessary to provide, maintain and improve the Service.

To fulfill the tool invocations you initiate, your relevant inputs may be forwarded to the applicable third-party provider for processing. Do not submit sensitive information that you are not authorized to process or do not wish to be processed by third parties. See the Privacy Policy for how personal information is handled.

8. Intellectual Property

The trademarks, logos, software, interfaces, documentation and other intellectual property related to AgentEarth and the Service belong to us or the respective rights holders. You may not copy, modify, distribute or otherwise use them without prior written permission.

Intellectual property associated with third-party tools belongs to the respective rights holders.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including without limitation merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free or that tool results will be accurate.

You acknowledge that results returned by tools (including content generated by AI models) may be inaccurate, incomplete or unsuitable, and that whether and how you rely on them is your own decision and at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, punitive or consequential damages (including loss of profits, data or goodwill) arising out of your use of or inability to use the Service.

In any event, our aggregate liability under these Terms is limited to the total fees you actually paid us for the Service in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold us harmless from third-party claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms or applicable law, or from your User Content or use of the Service.

12. Changes to and Termination of the Service

We may add to, modify, suspend or discontinue all or part of the Service at any time. You may stop using the Service and close your account at any time.

If you breach these Terms, we may suspend or terminate your account without prior notice. Provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability and dispute resolution) survive termination.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced on the website or by other appropriate means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Dispute Resolution

The parties shall first seek in good faith to resolve any dispute arising out of or relating to these Terms through amicable negotiation; failing that, the dispute shall be resolved in accordance with applicable law. The specific governing law and jurisdiction will be specified in a future version.
